بعد الاطلاع علي نص المـادة (151) من الدستور ؛
وبعد موافقة مجلس الوزراء ؛

وُوفق علي الاتفاق بين حكومة جمهورية مصر العربية وحكومة جمهورية ألمـانيا الاتحادية بشأن التعاون المـالي لعام 2019، الموقع في القاهرة بتاريخ 2021/5/20، وذلك مع التحفظ بشرط التصديق .
صدر برئاسة الجمهورية في 18 ذي الحجة سنة 1442هـ
( الموافق 28 يوليو سنة 2021م ) .

إن حكومة جمهورية مصر العربية
وحكومة جمهورية ألمـانيا الاتحادية
انطلاقًا من روح العلاقات الودية القــائمة بين جمهــورية مصر العربية وجمهورية ألمـانيا الاتحـادية ،
ورغبة في توطيد وتعزيز هذه العــلاقات الودية من خلال التعاون المـالي المبني علي روح المشـاركة ،
وإدراكًا بأن الحفاظ علي هذه العلاقات يشكل أساسًا لهذا الاتفاق .
وعزمًا علي المساهمة في التنمية الاجتماعية والاقتصادية في جمهورية مصر العربية .
وبالإشــارة إلي محـضـــــر المفـــاوضـــات الحـكــوميــة بتـــاريخ 19 نــوفمـــبر 2019 في برلـين ،
قد اتفقتا علي ما يلي :
( المــادة الأولي )
(1) تمكن حكومة جمهورية ألمـانيا الاتحادية حكومة جمهورية مصر العربية أو أي جهات مستلمة أخري تشترك الحكومتان في اختيارها من الحصول من بنك التعمير الألمـاني (Kfw) عـلي المبـالغ التـالية :
مساهمات مالية تصل قيمتها إلي 34.000.000 يورو (أربعة وثلاثون مليون يورو) للمشـروعين التـاليين :
1 - "دعم كفاءة الطاقة" بقيمة تصل إلي 8.000.000 يورو (ثمانية ملايين يورو) .
2 - "FCTI - الدعم المـالي لمبــادرة التعليم الفني الشــامل مع مصر" بقيمة تصل إلي 26.000.000 يورو ( سنة وعشرون مليون يورو) .
شريطة أن تثبت الدراسة جدوي دعمهما ويتم التأكد من أنهما - كإجراءات تخدم تحسين وضع المرأة في المجتمع أو إجراءات للمساعدة الذاتية في مكافحة الفقر أو كصناديق ضمان ائتمان للمؤسسات الصغيرة والمتوسطة أو كمشروعات للبنية الأساسية الاجتماعية أو لحماية البيئة - يستجيبان للشروط الخاصة المبررة للدعم في صورة مساهمة مالية .
(2) تطبق أحكام هذا الاتفاق إذا مكنت حكومة جمهورية ألمـانية الاتحادية حكومة جمهورية مصـــر العــربية في وقــت لاحــق من الحصـول من بنــك التعمير الألمـاني Kfw علي مساهمات مالية أخري لتحضير المشروعين المذكورين في الفقرة (1) أعلاه أو علي مساهمات مالية أخري لإجــراءات مصــاحبة ضرورية لتنفـيذ ودعم المشـروعين المذكــورين في الفقرة (1) أعلاه .
( المــادة الثــانية )
(1) تحكم استخدام المبالغ المشار إليها في المـادة الأولي من هذا الاتفاق وشروط وأحكام منحها وكذلك الإجراء الواجب إتباعه لترسية العطاءات الاتفاقات التي تبرم بين بنك التعمير الألمـاني Kfw وبين مستلمي المساهمات المـالية ، وتكون هذه الاتفاقات خاضعة للقوانين واللوائح المعمول بها في جمهورية ألمـانيا الاتحادية .
(2) يتم إلغاء الموافقة علي منح المبالغ الواردة في الفقرة (1) من المـادة الأولي من هذا الاتفاق إذا لم يتم إبرام اتفاقات التمويل المتعلقة بها في غضون أربع سنوات بعد سنة الموافقة عليها ، ويكون 31 ديسمبر 2023 هو آخر موعد بالنسبة لهذه المبالغ .
(3) تضمن حكومة جمهورية مصر العربية ، ما لم تكن هي نفسها الجهة المستلمة للمساهمات المـالية ، الوفــاء بتســديد المبــالغ المستحقـة لبنــك التعمير الألمـاني KFW التي قد تنشأ بناء علي اتفاقات التمويل التي يتم إبرامها بموجب الفقرة (1) أعلاه .
( المــادة الثــالثة )
تعفي حكومة جمهورية مصر العربية بنك التعمير الألمـاني KFW من أية ضرائب مباشرة مفروضة في جمهورية مصر العربية فيما يتعلق بإبرام وتنفيذ الاتفاقات المشار إليها في الفقرة (1) من المـادة الثانية من هذا الاتفاق وتتحمل حكومة جمهورية مصر العربية ضريبة القيمة المضافة والضريبة الجمـركية وضرائب مشـابهة غير مباشرة يتم فرضها . كذلك تتحمل حكومة جمهورية مصر العربية أية ضرائب استهلاكية خاصة مفروضة ، بالإضافة إلي ذلك تعفي حكـومة جمهـورية مصـر العـربية بنــك التعمــير الألمـاني KFW من الأعباء العامة الأخري .
( المــادة الرابعــة )
تترك حكومة جمهورية مصر العربية للركاب والموردين حرية اختيار مؤسسات النقل البري أو البحري أو الجوي لنقل الأشخاص والبضائع الناتج عن منح المساهمات المـالية وتمتنع عن اتخاذ أية إجراءات من شأنها أن تستثني أو تعرقل الاشتراك المتكافئ لمؤسسات النقل التي يوجد مقر عملها في جمهورية ألمـانيا الاتحادية كما تمنح عند اللزوم التراخيص الضرورية لمشاركة مؤسسات النقل هذه .
( المــادة الخــامسة )
(1) يدخل هذا الاتفاق حيز النفاذ بمجرد قيام حكومة جمهورية مصر العربية بإخطار حكومة جمهورية ألمـانيا الاتحادية بأنه قد تم الانتهاء من استيفاء الإجراءات الوطنية الدستورية وغيرها من الإجراءات القــانونية اللازمة لدخــول هــذا الاتفاق حيز النفاذ ، ويكون تاريخ دخول الاتفاق حيز النفاذ هو تاريخ استلام الإخطار .
(2) تقوم حكومة جمهورية ألمـانيا الاتحادية باتخاذ اللازم علي وجه السرعة نحو تسجيل هذا الاتفاق لدي الأمانة العامة للأمم المتحدة وفقًا لأحكام المـادة (102) من ميثاق الأمم المتحدة بعد دخول هذا الاتفاق حيز النفاذ . ويتم إخطار الطرف الآخر بإتمام عملية التسجيل ورقم التسجيل لدي الأمم المتحدة ، بمجرد قيام الأمانة العامة للأمم المتحدة بتأكيد عملية التسجيل .
(3) يجوز للطرفين المتعاقدين أن يتفقا علي إجراء تعديلات علي هذا الاتفاق متبعين ذات الإجراءات المذكورة بالفقرة (1) أعلاه .
(4) أي نزاعات متعلقة بتفسير أو تنفيذ هذا الاتفاق يتم حلها وديًا بين الطرفين المتعاقدين عن طريق المحادثات والمفاوضات .
حرر في القاهرة بتاريخ 20مايو 2021 في نسختين أصليتين ، كل منهما باللغات العربية والإنجليزية والألمـانية وتكون لجميع النصوص الثلاثة نفس الحجية ، وفي حالة الاختلاف في تفسير النصين العربي والألمـاني يعتد بالنص الإنجليزي .

REPUBLIC OF GERMANY
REGARDING
FINANCIAL COOPERATION
IN 2019
The Government of the Arab Republic of Egypt
and
The Government of the Federal Republic of Germany
In the spirit of the friendly relations existing between the Arab Republic of Egypt and the Federal Republic of Germany,
Desiring to strengthen and intensify those friendly relations through financial cooperation in a spirit of partnership,
Aware that the maintenance of those relations constitutes the basis of this Agreement,
Intending to contribute to social and economic development in the Arab Republic of Egypt,
Referring to the Summary Record of the intergovernmental negotiations of 19 November 2019 in Berlin,
Have agreed as follows;
( Article 1 )
(1) The Government of the Federal Republic of Germany shall enable the Government of the Arab Republic of Egypt or other recipients to be determined jointly by the two Governments to obtain from Kreditanstalt flir Wiederaufbau (KfW) the following amounts:
financial contributions of up to 34,000,000 euros (thirty-four million euros) for the projects:
1. Promoting Energy Efficiency, up to 8,000,000 euros (eight million euros),
2. Financial Support for the Comprehensive Technical Education Initiative (FCTI), up to 26,000,000 euros (twenty-six million euros),
if on examination they have been found eligible for support and confirmation has been obtained that as schemes to improve the status of women, self-help anti-poverty schemes, credit guarantee funds for small and medium-sized enterprises or social infrastructure/environmental protection projects they meet the special requirements for support in the form of a financial contribution.
(2) This Agreement shall also apply if, at a later date, the Government of the Federal Republic of Germany enables the Government of the Arab Republic of Egypt to obtain from KfW further financial contributions for the preparation of the projects specified in paragraph (1) above or further financial contributions for attendant measures necessary to implement and support the projects specified in paragraph (1) above.
( Article 2 )
(1) The utilisation of the amounts specified in Article 1 of this Agreement and the terms and conditions on which they are made available, as well as the procedure for awarding contracts, shall be governed by agreements to be concluded between KfW and the recipients of the financial contributions, which shall be subject to the laws and regulations applicable in the Federal Republic of Germany.
(2) The commitment to grant the amounts specified in Article 1 (1) of this Agreement shall lapse if the relevant financing agreements are not concluded within a period of four years after the year in which the commitment was made. For the specified amounts the deadline shall be 31 December 2023.
(3) The Government of the Arab Republic of Egypt, where it is not itself the recipient of the financial contributions, shall guarantee any repayment due to KfW under the financing agreements to be concluded pursuant to paragraph (1) above,
( Article 3 )
The Government of the Arab Republic of Egypt shall exempt KfW from direct taxes levied in the Arab Republic of Egypt in. connection with the conclusion and implementation of the agreements referred to in Article 2 (1) of this Agreement. Any value-added tax, customs taxes and similar indirect taxes levied in this connection shall be borne by the Government of the Arab Republic of Egypt. Any specific consumption taxes levied shall be assumed by the Government of the Arab Republic of Egypt. Furthermore, the Government of the. Arab Republic of Egypt shall exempt KfW from any other public charges.
( Article 4 )
The Government of the Arab Republic of Egypt shall allow passengers and suppliers free choice of transport enterprises for such transportation by sea, land or air of persons and goods as results from the granting of the financial contributions, abstain from taking any measures that might exclude or impair the participation on equal terms of transport enterprises having their place of business in the Federal Republic of Germany and grant any necessary permits for the participation of such enterprises,
( Article 5 )
(1) This Agreement shall enter into force on the date on which the Government of the Arab Republic of Egypt has informed the Government of the Federal Republic of Germany that the national constitutional and other legal procedures necessary for such entry into force have been concluded, The relevant date shall be the day on which the communication is received.
(2) Registration of this Agreement with the Secretariat of the United Nations, in accordance with Article 102 of the United Nations Charter, shall be initiated by the Government of the Federal Republic of Germany immediately following its entry into force. The other Contracting Party shall be informed of registration, and of the UN registration number, as soon as this has been confirmed by the Secretariat.
(3) The Contracting Parties may agree amendments to this Agreement following the procedures referred to in paragraph (1) above.
(4) Any disputes concerning the interpretation or application of this Agreement shall be settled amicably by the Contracting Parties by means of talks or negotiations.
Done at Cairo on 20th May 2021
in duplicate in the Arabic, English and German languages, all three texts being authentic. In case of divergent interpretations of the Arabic and German texts, the English text shall prevail.

FINANZIELLE ZUSAMMENARBEIT
2019
Die Regierung der Arabischen Republik Agypten
und
die Regierung der Bundesrepublik Deutschland
im Geiste der bestehenden freundschaftlichen Beziehungen zwischen der Arabischen Republik Agypten und der Bundesrepublik Deutschland,
in dem Wunsch, diese freundschaftlichen Beziehungen durch partnerschaftliche Finanzielle Zusammenarbeit zu festigen und zu vertiefen,
in den Bewusstsein, dass die Aufrechterhaltung dieser Beziehungen die Grundlage dieses Abkommens ist,
in der Absicht, zur sozialen und wirtschaftlichen Entwicklung in der Arabischen Republik Agypten beizutragen,
unter Bezugnahrae auf das Protokoll der Regierungsverhandlungen vom 19, November 2019 in Berlin -
sind wie folgt übereingekommen:
( Artikel 1 )
(1) Die Regierung der Bundesrepublik Deutschland ermoglicht es der Regierung der Arabischen Republik Agypten oder anderen, von beiden Regierungen gemeinsam auszuwahlenden Empfangern, von der Kreditanstalt für Wiederaufbau (KfW) folgende Betrage zu erhalten:
Finanzierungsbeitrage von bis zu 34 000 000 EUR (in Worten: vierunddreibig Millionen Euro) fur die Vorhaben;
1.زForderung von Energieelfizienzس bis zu 8 000 000 EUR (in Worten: acht Millionen Euro),
2,زFinanzierung für die Ausbildungsinitiative mit Agypten (Financial Support for the Comprehensive Technical Education Initiative (FCTI))س bis zu 26 000 000 EUR (in Worten: sechsundzwanzig Millionen Euro),
wenn nach Prüning deren Forderungswürdigkeit festgestellt und bestatigt worden ist, dass sie als Mabnahmen zur Verbesserung der gesellschaftlichen Stellung von Frauen, selbsthilfeorientierte Mabnahmen zur Armutsbekampfung, Kreditgarantiefonds Für mittelstandische Betriebe oder Vorhaben der sozialen Infrastruktur oder des Umweltschutzes die besonderen Voraussetzungen für die Forderung im Wege eines Finanzierungsbeitrages erfüllen.
(2) Falls die Regierung der Bundesrepublik Deutsehland es der Regierung der Arabischen Republik Agypten zu einem spateren Zeitpunkt ermoglicht, weitere Finanzierungsbeitrage zur Vorbereitung der in Absatz 1 genannten Vorhaben oder weitere Finanzierungsbeitrage für notwendige Begleitmabnahmen zur Durchfühung und Betreuung der in Absatz 1 genannten Vorhaben von der KfW zu erhalten, findet dieses Abkommen Anwendung,
( Artikel 2 )
(1) Die Verwendung der in Artikel 1 genannten Betrage, die Bedingungen und Bestimmungen, zu denen sie zur Verfügung gestellt werden sowie das Verfahren der Auftragsvergabe bestimmen die zwischen der KfW und den Empfangern der Finanzierungsbeitrage zu sehliebenden Vertrage, die den in der Bundesrepublik Deutsehland geltenden Rechtsvorschriften unterliegen.
(2) Die Zusage der in Artikel 1 Absatz 1 genannten Betrage entfallt, soweit nicht innerhalb von vier Jahren nach dem Zusagejahr die entsprechenden Finanzierungsvertrage geschlossen wurden. Für diese Betrage endet die Frist mit Ablauf des 31, Dezember 2023.
(3) Die Regierung der Arabischen Republik Agypten, soweit sie nicht selbst Empfanger der Finanzierungsbeitrage ist, wird etwaige Rückzahlungsansprüche, die aufgrund der nach Absatz 1 zu sehliebenden Finanzierungsvertrage entstehen konnen, gegenüber der KfW garantieren.
( Artikel 3 )
Die Regierung der Arabischen Republik Agypten befreit die KfW von direkten Steuern, die im Zusammenhang mit dem Abschluss und der Durchführung der in Artikel 2 Absatz 1 genannten Vertrage in der Arabischen Republik Agypten erhoben werden. In diesem Zusammenhang erhobene Umsatzsteuer, Zollabgaben und ahnliche indirekte Steuern werden von der Regierung der Arabischen Republik Agypten getragen. Erhobene besondene Verbrauchssteuern werden von der Regierung der Arabischen Republik Agypten übernommen. Darüber hinaus befreit die Regierung der Arabischen Republik Agypten die KfW von sonstigen offentlichen Abgaben,
( Artikel 4 )
Die Regierung der Arabisehen Republik Agypten überlasst bei den sich aus der Gewahrung der Finanzierungsbeitrage ergebenden Transporten von Personen und Gütern im See-, Land- und Luftverkehr den Passagieren und Lieferanten die freie Wahl der Verkehrsunternehmen, trifft keine Mabnahmen, welche die gleichberechtigte Beteiligung der Verkehrsunternehmen mit Sitz in der Bundesrepublik Deutschland ausschlieben ocler erschweren, und erieilt gegebenenfalls die für eine Beteiligung dieser Verkehrsunternehmen erforderlichen Genehmigungen,
( Artikel 5 )
(1) Dieses Abkommen tritt an dem Tag in Kraft, an dem die Regierung der Arabischen Republik Agypten der Regierung der Bundesrepublik Deutschland mitgeteilt hat, dass die für das Inkrafttreten erforderlichen innerstaatlichen verfassungsmabigen und sonstigen rechtlichen Verfahren abgeschlossen sind. Mabgebend ist der Tag des Eingangs der Mitteilung.
(2) Die Registrierung dieses Abkommens beim Sekretariat der Vereinten Nationen nach Artikel 102 der Charta der Vereinten Nationen wird unverzüglich nach seinem Inkrafttreten von der Regierung der Bundesrepublik Deutschland veranlasst. Die andere Vertragspartei wird unter Angabe der VN-Registrierungsnummer von der erfolgten Registrierung unterrichtet, sobald diese vom Sekretariat der Vereinten Nationen bestatigt worden ist.
(3) Die Vertragsparteien konnen Anderungen dieses Abkommens nach den in Absatz 1 genannten Verfahren vereinbaren.
(4) Streitigkeiten über die Auslegung oder Anwendung dieses Abkommens werden durch die Vertragsparteien gütlich im Rahmen von Gesprachen beziehungsweise Verhandlungen beigelegt.
Geschehen zu Kairo am 20th Mai, 2021
in zwei Urschriften, jede in arabischer, englischer mid deutscher Sprache, wobei jeder Wortlaut verbindlich ist. Bei unterschiedlicher Auslegung des arabischen und des deutschen Wortlauts ist der englische Wortlaut mabgebend.
