وبعد موافقة مجلس الوزراء ؛

 

قرر :

ووفق على اتفاقية «منحة بحد أقصى عالمى يبلغ ستة وخمسين مليونًا وسبعمائة واثنين وأربعين ألفًا وثمانمائة وثمانية وخمسين يورو(56٫742٫858 يورو) لتطوير سعات تخزين صوامع القمح من الوكالة الفرنسية للتنمية ، وذلك مع التحفظ بشرط التصديق .

صدر برئاسة الجمهورية فى 25 ربيع الآخر سنة 1445 هــ

حيث إن :

1 - يعتزم المستفيد تحسين صمود مصر وأمنها الغذائى من خلال «EU» صوامع - دعم الاتحاد الأوروبى تحسين تخزين الحبوب فى مصر «يسمى مشروع» من خلال إنشاء 420.000 طن مترى من صوامع التخزين فى ستة مواقع ، كما هو موضح بمزيد من التفصيل فى الجدول ۱ (وصف المشروع) .

2- وفقًا لقرار المفوضية الأوروبية رقم C (2022) 9688 بتاريخ 16 ديسمبر ۲۰۲۲ ، وافق الاتحاد الأوروبى على تسهيل منحة تسمى دعم الاتحاد الأوروبى للأمن الغذائى فى مصر «منحة الاتحاد الأوروبي») . تم تفويض جزء من هذا التسهيل ، بمبلغ 60.000.000 يورو للوكالة ، لدعم الإجراء «EU» صوامع دعم الاتحاد الأوروبى تحسين تخزين الحبوب فى مصر .

3- عملا بقرار رقم C20230264 من مجلس إدارة الوكالة الفرنسية للتنمية بتاريخ ٢٠ أبريل ۲۰۲۳ وافقت الوكالة الفرنسية للتنمية على إتاحة :

( أ ) تسهيل منحة بحد أقصى عالمى يبلغ ستة وخمسين مليون وسبعمائة واثنين وأربعين ألفا وثمانمائة وثمانية وخمسين يورو (56.742.858) يورو («المنحة») ستواصل دعم المشروع .

٤- يتفق الطرفان على الدخول فى :

اتفاق منحة منفصل يشار إليها فيما يلى باسم «اتفاق المنحة المفصل» مع المستفيد الذى يمثله (۱) وزارة التعاون الدولى التى تعمل كوكيل للحكومة المصرية فيما يتعلق بالمنحة و(۲) وزارة التموين والتجارة الداخلية (MoSIT). سوف ينص اتفاق المنحة بالتفصيل على الشروط والأحكام التى بموجبها تقوم AFD بإتاحة المنحة للمستفيد . يقر المستفيد فى هذه الوثيقة ويؤكد أنه أيا كان الطرف المقصر ، إما وزارة التعاون الدولى و/ أو وزارة التموين والتجارة الداخلية (MoSIT) ، فإنه يعتبر انتهاكا لاتفاق المنحة ، من قبل حكومة الدولة جمهورية مصر العربية . ستقوم الشركة المصرية القابضة للصوامع والتخزين (EHCSS) بدور الجهة المنفذة .

تم الاتفاق على ما يلى :

يعتزم الطرفان أن يتم تحديد التزاماتهما من خلال البنود المنصوص عليها فيما بعد وكذلك من خلال الجداول المرفقة بهذه الاتفاقية والتى تشكل جزءًا لا يتجزأ من هذه الاتفاقية يشار إليها فيما بعد باسم «اتفاق المنحة المبسط») .

لأغراض اتفاق المنحة المبسط هذا ، يجب أن تفهم المصطلحات التالية ، عند ظهورها بحرف كبير ، على أنها تحمل المعنى المحدد لها أدناه :

«يوم العمل» :

( أ ) فى سياق السحب يعنى اليوم (بخلاف السبت أو الأحد) الذى تكون فيه البنوك مفتوحة للعمل العام فى باريس ويكون اليوم المستهدف فى حالة ضرورة إجراء سحب الأموال بموجب المنحة فى مثل هذا يوم ؛

أو

(ب) فى سياق إشعار أو أى غرض آخر غير ذلك الموضح فى البند (أ) أعلاه ، يعنى يوما (بخلاف الجمعة أو السبت أو الأحد) تكون فيه البنوك مفتوحة للعمل العام فى باريس والقاهرة .

‏«EHCSS» : تعنى الشركة المصرية القابضة للصوامع والتخزين ، التى تأسست عام ۲۰۰۲ بقرار رئيس الوزراء رقم ١٦٨٢

«اتفاق المنحة المفصل» : له المعنى المعطى لهذا المصطلح فى القسم ٤ من الحيثيات .

«السحب» : يعنى سحب كل أو جزء من الأموال التى قدمتها الوكالة أو ستوفرها للمستفيد وفقا للشروط والأحكام المنصوص عليها فى اتفاق المنحة المفصل .

«منحة» : لها المعنى المعطى لهذا المصطلح فى القسم ٣ من الحيثيات .

«اليورو» أو «اليورو» يعنى أن العملة الأوروبية الموحدة هى العملة القانونية فى بعض الدول الأعضاء فى الاتحاد الاقتصادى والنقدى الأوروبى ، بما فى ذلك فرنسا .

«الجهة المنفذة» : يعنى الشركة القابضة للصوامع والتخزين (EHCSS) ، التى ستفوضها وزارة التموين والتجارة الداخلية تنفيذ المشروع .

«مشروع» : له المعنى المعطى لهذا المصطلح فى القسم ١ من الحيثيات .

«الملحق» : يعنى الملحق 1 المرفق باتفاق المنحة هذا والذى يقدم على وجه الخصوص ، وصفًا للمشروع .

«الجدول» يعنى الجدول ۱ المرفق باتفاق المنحة المبسط هذا والذى يوفر على وجه الخصوص ، التكاليف وخطة التمويل الخاصة بالمشروع .

القسم الأول - تمويل الوكالة الفرنسية للتنمية :

المادة 1 - الغرض :

تتيح الوكالة الفرنسية للتنمية مباشرة للحكومة المصرية ، والتى تقبل :

منحة من الاتحاد الأوروبى بمبلغ أقصاه ستة وخمسون مليونًا وسبعمائة وأربعون ألفًا وثمانمائة وثمانية وخمسون يورو (56742.858 يورو) .

تم الاتفاق بين الطرفين على أن تكون جميع المبالغ المشار إليها فى الاتفاق المبسط باليورو ، ما لم تتم الإشارة بشكل محدد إلى عملة أخرى .

يجب أن يتوافق استخدام الأموال مع وصف المشروع كما هو معروض فى الجدول ۱

القسم الثانى - استخدام المنحة :

المادة ٢ - استخدام الأموال :

تستخدم المنحة حصريًا لتمويل المشروع ، كما هو موضح فى الجدول 1 - وصف المشروع - ، معفاة من أى ضرائب بأى شكل من الأشكال والجبايات والرسوم من أى نوع تعفى حكومة جمهورية مصر العربية المعدات والآلات اللازمة لتنفيذ المشروع، التى تتلقاها وزارة التموين والتجارة الداخلية والممولة من المنحة المقدمة من قبل الاتحاد الأوروبى وتديرها للوكالة الفرنسية للتنمية من كافة الضرائب بما فى ذلك ضريبة القيمة المضافة والرسوم الجمركية والخدمات معفاة من ضريبة القيمة المضافة .

المادة 3 - الشروط السابقة :

يخضع سحب أموال المنحة لاستيفاء الشروط التالية وتلك التى سيتم ذكرها فى اتفاق المنحة المفصل :

الشروط السابقة لتوقيع الاتفاق المبسط :

توقيع اتفاقية المساهمة بين الاتحاد الأوروبى والوكالة الفرنسية للتنمية المتعلقة بهذا المشروع .

 تسليم المستفيد للوكالة المستندات التالية :

نسخة مصدقة من القرار (القرارات) ذات الصلة بما يتوافق مع تشريعات الولاية القضائية للمستفيد ، وتفويض المستفيد الذى يعمل من خلال وزارة التعاون الدولى للدخول فى اتفاق المنحة المبسط هذا الموافقة على شروط وأحكام هذا الاتفاق المبسط الموافقة على تنفيذ هذا الاتفاق المبسط وتفويض شخص أو أشخاص محددين بتنفيذ الاتفاق نيابة عنها ؛

الشروط السابقة لسحب الأموال بموجب اتفاق المنحة المفصل :

التوقيع على اتفاق المنحة المفصل ودخوله حيز التنفيذ ؛ امتثالاً للأحكام القانونية والإدارية المعمول بها فى جمهورية مصر العربية .

استلام الوكالة الدفعة ذات الصلة من أموال المنحة من الاتحاد الأوروبى ؛

وفاء المستفيد ممثلة بوزارة التموين والتجارة الداخلية ومن قبل وزارة التعاون الدولى للشروط السابقة لصرف اتفاق المنحة المفصل .

المادة ٤ - تقديم طلبات السحب وآليات الدفع :

بموجب اتفاق المنحة المفصل :

بموجب هذا ، يقر المستفيد صراحة بأنه يحق للجهة المنفذة (أو أى كيان أو وزارة أخرى ذات صلة) إرسال طلبات السحب باسم المستفيد ونيابة عنه بموجب اتفاق المنحة المفصل . سيتم تقديم طلبات السحب من قبل الوكالة المنفذة نيابة عن المستفيد إلى مدير الوكالة الفرنسية للتنمية فى القاهرة سيوفر اتفاق المنحة المفصل بالتفصيل كيفية إعداد طلبات السحب هذه وتقديمها .

قبل أى طلب سحب ، يجب على الجهة المنفذة إبلاغ الوكالة باسم ومسمى الشخص (الأشخاص) المفوض (المفوضين) بالتوقيع نيابة عنها على طلبات الانسحاب بموجب اتفاق المنحة المفصل ، جنبًا إلى جنب مع أى دليل على السلطة وكذلك عينة من نموذج التوقيع (التوقيعات) الخاص بهم .

المادة 5 - أخر موعد لسحب الأموال :

بموجب اتفاق المنحة المفصل :

سيحدث السحب الأول بموجب اتفاق المنحة المفصل بحلول ۲۰ أغسطس ۲۰۲٥ («الموعد النهائى للسحب الأول من المنحة») . تحتفظ الوكالة الفرنسية للتنمية بالحق فى إلغاء المنحة وإنهاء هذا الاتفاق واتفاق المنحة المفصل إذا لم يتم سحب أول سحب بحلول هذا التاريخ .

يُذكر صراحة أن التزام الوكالة الفرنسية للتنمية بإتاحة المنحة للمستفيد يخضع لاستلام الوكالة الفرنسية للتنمية لطلب السحب الأول من حيث الشكل والمضمون المرضى لـ AFD فى آخر خمسة عشر (۱٥) يوم عمل قبل الموعد النهائى للسحب الأول من المنحة بحلول هذا التاريخ ، إذا لم تتلق الوكالة الفرنسية للتنمية (AFD) طلب السحب ، يحق للوكالة إلغاء المنحة .

ومع ذلك ، فمن المفهوم أن الموعد النهائى للسحب الأول من المنحة يمكن تمديده بموجب اتفاق مكتوب مشترك بين الطرفين .

القسم الثالث - الإقرارات والضمانات - التعهدات - حالة التقصير :

المادة 6 - الالتزامات المحددة للمستفيد :

بموجب اتفاق المنحة المفصل :

الشروط والأحكام التى بموجبها تتيح الوكالة الفرنسية للتنمية (AFD) المنحة للمستفيد ، مبلغ المنحة سيصرف باليورو  فقط ، (على وجه الخصوص ، على سبيل المثال لا الحصر الإقرارات والضمانات وتعهدات المستفيد ، والمتطلبات من حيث إجراءات الشراء ، وتنفيذ البرنامج ، وإجراءات الإبلاغ ، أحداث التقصير ، الشروط السابقة للتوقيع والسحب) يجب أن يتم تفصيلها بمزيد من التفصيل فى اتفاق المنحة المفصل التى تكون ملزمة للطرفين .

يجب على المستفيد أن يدفع مباشرة أو يسدد للوكالة جميع التكاليف والنفقات المعقولة ، إن وجدت ، التى قد تتكبدها الوكالة أو دفعتها مقابل أى خطوة يتعين اتخاذها ، بما فى ذلك على سبيل المثال لا الحصر فى حالة اللجوء إلى القضاء لاسترداد كامل مبلغ المنحة إذا تم استخدامه أو دفعه بشكل غير منتظم أو غير ملائم بموجب هذا الاتفاق ، يجب ألا يتجاوز المبلغ المنحة التى تم تخصيصها إلى حكومة جمهورية مصر العربية فقط ، وهى 56.742.858 يورو .

المادة 7 - اختيار محل الإقامة :

أى إشعار أو طلب أو أى اتصال آخر يتم تقديمه أو إجراؤه بموجب اتفاق المنحة المبسط هذا أو فيما يتعلق بها يجب أن يتم تقديمه أو إجراؤه كتابة ، وما لم يُنص على خلاف ذلك ، يجوز تقديمه أو إجراؤه عن طريق خطاب يرسله مكتب البريد إلى العنوان والرقم الطرف المعنى المبين أدناه :

المادة ٨ - اللغة :

تم إعداد أصول الاتفاق المبسط والتوقيع عليها باللغتين الإنجليزية والعربية . كلتا اللغتين متساويتان فى الحجية .

ومع ذلك ، يجب أن تسود النسخة الإنجليزية حصريًا فى حالة وجود اختلاف فى تفسير أحكام اتفاق المنحة المبسط أو التحكيم بين الطرفين .

المادة 9 - التحكيم والقانون الواجب التطبيق :

يجب تسوية أى نزاع أو خلاف أو مطالبة تنشأ فيما يتعلق بوجود اتفاق المنحة المبسط أو صلاحيته أو تفسيره أو تنفيذه أو إنهاؤه ، قدر الإمكان ، بالاتفاق المتبادل بين الوكالة الفرنسية للتنمية والحكومة المصرية .

إذا كانت النزاعات المذكورة أعلاه لا يمكن تسويتها بالاتفاق المتبادل ، تقبل كل من الحكومة المصرية والوكالة الفرنسية للتنمية بموجبه تسوية هذه النزاعات نهائيًا عن طريق التحكيم وفقًا لقواعد التوفيق والتحكيم الخاصة بغرفة التجارة الدولية السارية فى تاريخ بدء إجراءات التحكيم من قبل محكم واحد أو ثلاثة محكمين يتم تعيينهم وفقًا للقواعد المذكورة .

يجب على الطرف الراغب فى اللجوء إلى التحكيم إبلاغ الطرف الآخر بخطاب مسجل يتفق الطرفان على اختيار مكان التحكيم وجنسية المحكم الوحيد أو رئيس هيئة التحكيم فى حالة عدم وجود اتفاق بين الطرفين فى غضون شهر واحد من إرسال الخطاب المسجل المذكور أعلاه ، ستتم إجراءات التحكيم فى جنيف (سويسرا) ويكون المحكم الوحيد أو الرئيس ، مواطنا سويسريًا .

لغة التحكيم هى اللغة الإنجليزية .

يجب أن يظل شرط التحكيم الحالى ساريًا فى حالة بطلان الاتفاق المبسط أو إنهائه أو إلغائه أو انتهاء صلاحيته بدء الإجراءات من قبل أى من الطرفين ضد الآخر
 لا يؤدى فى حد ذاته إلى تعليق التزاماته التعاقدية وفقا لاتفاق المنحة المبسط .

تتعهد الحكومة المصرية والوكالة الفرنسية للتنمية بالاعتراف بأحكام التحكيم وتنفيذها .

يخضع الاتفاق المبسط للقانون الفرنسى ولا يخالف أحكام الدستور المصرى والنظام العام فى مصر .

المادة ١٠ - الدخول حيز النفاذ - الإنهاء :

يدخل الاتفاق المبسط حيز التنفيذ فى التاريخ الذى أبلغت فيه الحكومة المصرية الوكالة الفرنسية للتنمية بأن المتطلبات القانونية لدخول هذا الاتفاق حيز التنفيذ قد تم الوفاء بها . يجب أن يكون التاريخ ذو الصلة هو اليوم الذى يتم فيه استلام الإخطار .

يحق للوكالة الفرنسية للتنمية إنهاء الاتفاق المبسط دون الحاجة إلى استخدام أى إجراءات معينة إذا تم إنهاء اتفاق المنحة المفصل .

المادة ١١ - التعديل :

لن يتم إجراء أى تعديل على هذا الاتفاق المبسط للمنحة ما لم يتم الاتفاق صراحة عن طريق الكتابة بين الأطراف وبما يتوافق مع الأحكام القانونية والإدارية المعمول بها فى جمهورية مصر العربية .

على الرغم مما ورد أعلاه ، يجوز تمديد المواعيد النهائية المشار إليها أعلاه باتفاق مشترك ، من خلال تعديل بين الطرفين بعد استطلاع رأى جهات الاختصاص .

من ثلاث (۳) نسخ أصلية باللغتين الإنجليزية والعربية ، إحداها خاصة بالوكالة الفرنسية للتنمية بتاريخ ٣٠ يوليو 2023

الملحق ۱ - وصف المشروع :

تعد مصر أكبر مستورد للقمح فى العالم ، حيث تم استيراد ۱۲ مليون طن عام 2021/2022 ، من خلال برنامج دعم الخبز الاجتماعى الذى يستفيد منه
حوالى ۷۰ مليون مصرى ضعيف ، تحتاج الحكومة المصرية إلى ٩ ملايين طن من القمح سنويًا، يتم توفير (٤٠٪) منها محليا ويتم استيراد (٦٠٪) بشكل أساسى من روسيا وأوكرانيا .

أثرت الأزمة فى أوكرانيا بشدة على إمدادات القمح فى مصر ، كما أن سعة التخزين الإستراتيجية محدودة (3.4 مليون طن فى عام۲۰۲۲) ، هذا الوضع ، الذى يلقى بثقله أيضا على المالية العامة ، فى سياق اقتصادى متوتر مع انخفاض حاد فى قيمة الجنيه المصرى ، يشكل خطرًا متزايدًا على الأمن الغذائى للبلاد .

فى هذا السياق ، قام الاتحاد الأوروبى بتعبئة مرفق الطوارئ «مرفق الأمن الغذائى والقدرة على الصمود» بمبلغ إجمالى قدره ٢٢٥ مليون يورو ، منها ۱۰۰ مليون يورو مخصصة لمصر . تمت الموافقة على هذا المرفق بموجب القرار التنفيذى الصادر عن مفوضية الاتحاد الأوروبى بتاريخ ١٦ ديسمبر ۲۰۲۲ ويتضمن إجراءين يركزان على (۱)
تحسين إنتاج الحبوب و(۲) تحسين مرافق تخزين القمح (الصوامع) . يعتزم الاتحاد الأوروبى تفويض ٦٠ مليون يورو إلى الوكالة الفرنسية للتنمية (AFD) لتنفيذ الإجراء المتعلق بصوامع القمح المرتبط بهذه الاتفاقية ، و٤٠ مليون يورو إلى التعاون الإيطالى AICS لتنفيذ دعم إنتاج الحبوب والمخازن الزراعية العمودية .

إن تطوير سعات تخزين صوامع القمح (« المشروع») له الأهداف الرئيسية التالية:

زيادة قدرة مصر على الصمود أمام اضطراب سوق إمدادات القمح والصدمات الخارجية من خلال بناء سعة صوامع قمح إضافية لزيادة السعة الحالية بأكثر
من (10%) .

تعزيز كفاءة وجودة سلسلة قيمة توريد القمح المحلى من خلال تسهيل توريد القمح المحلي، وتقليل خسائر الحبوب من مرافق التخزين المفتوحة التقليدية من خلال تحسين ظروف تخزين القمح فى الصوامع . سيتم تصميم الصوامع خصيصا لتكون مقاومة للمناخ للحفاظ على جودة الحبوب .

حددت الحكومة ٦ مجمعات للصوامع بسعات تتراوح من 30.000 طن مترى إلى 105.000 طن مترى فى كل موقع . تم تحديد الاختيارات والقدرات بما يتوافق مع المعايير المتعددة ذات الصلة بما فى ذلك على سبيل المثال لا الحصر كمية واستدامة الإنتاج المحلى والتوزيع والسكان المخدومون ، وتوافر الأراضى وإمكانية الوصول إلى شبكة النقل (الطرق والسكك الحديدية) والبيئية والاجتماعية المخاطر .

* يتم تأكيد الموقع والموافقة عليه من قبل الوكالة الفرنسية للتنمية (AFD) بعد مزيد من العناية الواجبة .

بمزيد من التفصيل ، يشمل نطاق المشروع عنصرين رئيسيين :

يغطى المكون (١) دراسة الجدوى والتصميم الأولى والمراجعات ربع السنوية ، بالإضافة إلى البناء والتكليف بالأعمال .

يغطى المكون (۲) المساعدة الفنية اللازمة (بما فى ذلك وحدة إدارة المشروع) .

بالإضافة إلى هذين المكونين الرئيسيين ، سيتم أيضا تضمين الأنشطة التالية :

represented by H.E. Dr. Rania A. Al-Mashat acting in her capacity as Minister of International Cooperation pursuant to Decree No. 655 of 2019, duly authorized for the purposes hereof pursuant to the Delegation of Signature of the Ministry of Foreign Affairs dated July 17th, 2023.

(hereinafter «GoE» or the «Beneficiary»)

a French public entity governed by French law, having its head office at 5, rue Roland Barthes 75012, France, registered with the Trade and Companies Register of Paris under number 775 665 599, represented by Mrs Clémence Vidal De La Blache acting in her capacity as Country Director of Agence Française de Développement office in Egypt and duly authorised to sign this Agreement.

APPENDIX 1: PROJECT DESCRIPTION

SCHEDULE 1: PROJECT COSTS AND FINANCING PLAN

WHEREAS:

1- The Beneficiary Intends to Improve Egypt›s Resilience and Food Security through «EU l صوامع (Sawame3)-EU Support to Improve Grain Storage In Egypt» called the «Project» by constructing 420.000 metric tons of silos storage in six sites, as described further in Schedule 1 (Project Description).

2- As per the decision by the European Commission no. C(2022) 9688 dated December 18th 2022, the EU approved a Grant Facility called EU support to food security in Egypt (the «EU Grant»). A part of this facility, with an amount of EUR 60,000,000, is delegated to the Agency, to support the Action «EU صوامع (Sawame3) - EU Support to Improve Grain Storage in Egypt».

3- Pursuant to a resolution n° C20230264 of the Board of AFD dated 20 April 2023, AFD has agreed to make available directly to the Beneficiary:

(I) a grant facility of a maximum global amount of fifty six million seven hundred and forty two thousands eight hundred and fifty eight Euros (EUR 56.742.858) (the «Grant») will pursue the support to the Project.

 

4- The Parties agree to enter into:

A separate grant agreement (hereinafter the «Detailed Grant Agreement») with the Beneficiary represented by (1) the Ministry of International Cooperation acting as agent of the GoE with respect to the Grant and (II) the Ministry of Supply and Internal Trade (MOSIT). The Grant Agreement will provide in details the terms and conditions under which AFD shall make available the Grant to the Beneficiary. The Beneficiary herein acknowledges and confirms that whoever the defaulting party is, either the Ministry of International Cooperation and/or the Ministry of Supply and Internal Trade (MOSIT), It shall be considered as a breach to the Grant Agreement, from the Government of the Arab Republic of Egypt. The Egyptian Holding Company for Silos and Storage (EHCSS) will act as the Implementing Agency.

IT IS HEREBY AGREED AS FOLLOWS:

The parties intend that their obligations shall be defined by the clauses set forth hereinafter as well as by the Schedules attached hereto which shall constitute an integral part of this agreement (hereinafter referred to as the «Simplified Grant Agreement»).

For the purposes of this Simplified Grant Agreement, the following terms, when appearing with a capital letter, shall be understood as having the meaning given to them below:

 

«Business Day»

a. In the context of a Drawdown, means a day (other than Saturday or Sunday) on which banks are open for general business in Paris and which is a TARGET Day in the event that a Drawdown of funds under the grant has to be done on such day; or

b. in the context of a notification or any other purpose than that described in item (a) above, means a day (other than Friday, Saturday or Sunday) on which banks are open for general business in Paris and Cairo.

«EHCSS» shall mean the Egyptian Holding Company for Silos and Storage, established in 2002 by Prime Minister Decree n° 1682.

«Detailed Grant Agreement» has the meaning given to that term in section 4 of the recitals.

«Drawdown» means the drawdown of all or part of the funds made, or to be made, available by the Agency to the Beneficiary pursuant to the terms and conditions set out in the Detailed Grant Agreement.

«Grant» has the meaning given to that term in section 3 of the recitals.

«Euro» or «EUR» means the single European currency being legal tender in certain of the member states of the European Economic and Monetary Union, including France.

«Implementing Agency» shall mean EHCSS, to which the Ministry of Supply and Internal Trade will delegate the Implementation of the Project.

«Project» has the meaning given to that term in section 1 of the recitals.

«Appendix» means the appendix 1 attached to this Simplified Grant Agreement which provides, in particular, the description of the Project.

«Schedule» means the schedule 1 attached to this Simplified Grant Agreement which provides, in particular, the costs and financing plan of the Project.

 

SECTION 1-AFD FINANCING

Clause 1-Purpose

AFD makes available directly to the GoE, which accepts:

a EU Grant for a maximum amount of fifty six million seven hundred and forty two thousand eight hundred and fifty eight Euros (EUR 56,742,858).

It is agreed between the Parties that all amounts Indicated in the Simplified Grant Agreement shall be in Euros, unless specific reference is made to another currency.

The use of funds shall be compliant with the Project Description as presented in the Schedule 1.

 

SECTION II-UTILISATION OF THE GRANT

Clause 2-Use of the funds

The Grant will be exclusively used to finance the Project, as described in the Schedule 1- Project Description, free of any taxes in any forms, levies and duties of any kind. The government of the Arab Republic of Egypt exempts the equipment and machines, necessary for the implementation of the Project, received by the Ministry of Supply and Internal Trade and financed by the grant provided by EU and delegated to AFD from all taxes including the value added tax and custom duties and the services are exempted from value added tax.

 

Clause 3-Conditions precedent

The Drawdown of funds of the Grant shall be subject to fulfillment of the following conditions and of those ones to be further stated in the Detailed Grant Agreement:

Conditions precedent to signature of the Simplified Grant Agreement:

Signature of the Contribution Agreement between the European Union and AFD related to this Project Delivery by the Beneficiary to the Agency of the following documents:

a Certified copy of the relevant decision(s) in compliance with the legislation of the jurisdiction of

the Beneficiary, authorising the Beneficiary acting through MOIC to enter into this Simplified Grant Agreement; approving the terms and conditions of this Simplified Grant Agreement; approving the execution of this Simplified Grant Agreement; and authorising a specified person or persons to execute the Agreement on its behalf;

 

Conditions precedent to drawdown of funds under the Detailed Grant Agreement:

Signing and entry into force of the Detailed Grant Agreement; in compliance with the legal and administrative provisions in force in the Arab Republic of Egypt;

Receipt by the Agency of relevant instalment of the Grant funds from the European Union;

Fulfillment by the Beneficiary, represented by the Ministry of Supply and Internal Trade and by the Ministry of International Cooperation, of the conditions precedent to the disbursement of the Detailed Grant Agreement.

 

Clause 4 Submission of drawdown requests and payment mechanics:

Under the Detailed Grant Agreement

It is hereby expressly acknowledged by the Beneficiary that the Implementing Agency (or any other relevant entity or ministry) will be entitled to send requests for drawdown in the name and on behalf of the Beneficiary under the Detailed Grant Agreement. Drawdown requests will be submitted by the Implementing Agency acting on behalf of the Beneficiary, to the director of AFD in Cairo. The Detailed Grant Agreement will provide In detail how such drawdown requests shall be prepared and submitted.

 

Prior to any drawdown request, the Implementing Agency shall communicate to the Agency the name and title of the person(s) who is (are) authorised to sign on its behalf the drawdown requests under the Detailed Grant Agreement, together with any evidence of their authority as well as a sample of his (their) specimen of signature(s).

 

Clause 5- Deadline for Drawdown of funds

Under the Detailed Grant Agreement

The first drawdown under the Detailed Grant Agreement will occur by 20th August 2025 (the «Deadline for First Drawdown of the Grant»). AFD reserves the right to cancel the Grant, terminate this Agreement and the Detailed Grant Agreement if the first drawdown has not been drawn by this date.

It is expressly stated that AFD›s commitment to make available the Grant to the Beneficiary is subject to the receipt by AFD of a first drawdown request in form and substance satisfactory to AFD at the latest fifteen (15) Business Days before the Deadline for First Drawdown of the Grant. By this date, if no such drawdown request has been received by AFD, AFD will be entitled to cancel the Grant.

However, it is being understood that the Deadline of First Drawdown of the Grant may be extended by the Parties› common written agreement.

SECTION III-REPRESENTATION AND WARRANTIES - UNDERTAKINGS-EVENT OF DEFAULT

Clause 6-Beneficiary,s specific obligations

Under Detailed Grant Agreement

The terms and conditions on which AFD shall make available the grant to the Beneficiary, the grant will be disbursed only in Euro (in particular, but not limited to, the representations and warranties and the undertakings of the Beneficiary, the requirements in terms of procurement procedures, implementation of the Program, reporting procedures, events of default, conditions precedent to signing and to draw-downs) shall be further detailed in the Detailed Grant Agreement which shall be binding upon the Parties.

The Beneficiary shall pay directly or reimburse the Agency for all reasonable costs and expenses, if

applicable, that the Agency would Incur or has paid for any step to be taken including without limitation in case of judicial recourses for the recovery of all amount of the Grant Irregularly or unduly used or paid under this Agreement, the amount shall not exceed the grant that was allocated to GoE only, which is EUR 56.742.858.

 

Clause 7-Choice of domicile

Any notice, request or other communication to be given or made under or in connection with this Simplified Grant Agreement shall be given or made in writing and, unless otherwise stated, may be given or made by letter sent by the post office to the address and number of the relevant Party set out below:

Clause 8-Language

The originals of the Simplified Grant Agreement have been drawn-up and signed in both English and Arabic language. Both languages are equally authentic.

However, the English version shall exclusively prevail in case of a difference in interpretation of the provisions of the Simplified Grant Agreement or of arbitration between the Parties.

 

Clause 9-Arbitration and Applicable Law

Any dispute, disagreement, controversy or claim arising in connection with the existence, validity, interpretation, Implementation or termination of the Simplified Grant Agreement shall, to the extent possible, be settled by mutual agreement between AFD and the GoE.

If the disputes here mentioned above cannot be settled by mutual agreement, both the GoE and AFD accept hereby that such disputes shall be finally settled by arbitration in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce in force at the date of commencement of the arbitration proceedings, by one or three arbitrators to be appointed in accordance with the said rules.

The Party wishing to resort to arbitration shall inform the other party by registered letter. The Parties shall agree on the choice of the place of arbitration and the nationality of the sole arbitrator or the President of the arbitration tribunal. In the absence of an agreement between the Parties within one month from the sending of the aforementioned registered letter, the arbitration proceedings will take place in Geneva (Switzerland) and the sole arbitrator, or the President, shall be a Swiss national.

The language of arbitration shall be English.

The present arbitration clause shall remain valid in the event of the nullity, termination, cancellation or expiration of the Simplified Grant Agreement. Commencement of proceedings by either party against the other shall not in itself suspend its contractual obligations pursuant to the Simplified Grant Agreement.

The GoE and AFD both undertake to recognize and implement the arbitration judgments.

The Simplified Grant Agreement is governed by French law and not violating the provisions of the Egyptian constitution and public order in Egypt.

 

Clause 10-Entry Into Force Termination

The Simplified Grant Agreement shall enter into force on the date on which the GoE has informed AFD that the legal requirements for such an entry into force have been fulfilled. The relevant date shall be the day on which the notification is received.

AFD shall be entitled to terminate the Simplified Grant Agreement without the requirement of using any particular formalities if the Detailed Grant Agreement is terminated.

 

Clause 11-Amendment

No amendment will be made to this Simplified Grant Agreement unless expressly agreed by writing between Parties and it is in compliance with the legal and administrative provisions in force in the Arab Republic of Egypt.

Notwithstanding the above, the above referred deadlines may be extended by common agreement, through an amendment between the Parties after consulting the competent authorities.

Appendix 1: Project Description

Egypt is the world,s largest Importer of wheat, with 12 million tons imported in 2021/ 2022. With a social bread subsidy program that benefits approximately 70 million vulnerable Egyptians, the Government of Egypt requires 9 million tons of wheat per year, 40٪ of which are supplied locally and 60٪ are Imported mainly from Russia and Ukraine.

The crisis in Ukraine has severely affected Egypt›s wheat supply and has limited strategic storage capacity (3.4 million tons in 2022). This situation, which also weighs heavily on public finances, in a tense economic context of strong devaluation of the Egyptian pound, poses an increased risk to the country›s food security.

In this context, the European Union (EU) has mobilized an emergency Facility ‹Food Security and Resilience Facility for a total amount of 225 MEUR, of which 100 MEUR are dedicated to Egypt. This Facility was approved by the EU Commission Implementing Decision of 16 December 2022 and includes two actions focused on 1) enhancement of grains production and II) enhancement of wheat storage facilities (silos). The EU Intends to delegate 60 MEUR to AFD for the implementation of the action related to the wheat silos which is related to this Agreement, and 40 MEUR to the Italian cooperation AICS for the Implementation of grains production support and Vertical farm storages.

The development of wheat silos storage capacities («the Project») have the below main objectives:

Increase Egypt,s resilience to wheat supply market disruption and external shocks through constructing additional wheat silos capacity to increase the existing capacity by more than (10%);

Enhance the efficiency and the quality of domestic wheat supply value chain by facilitating local wheat supply, reducing grain losses from traditional open storage facilities through improved wheat storage condition in the silos. The silos will be specially designed to be climate-resilient to maintain the quality of the grain.

The Government have identified 6 silos complexes with capacities of 30,000 metric tons to 105,000 metric tons at each location. The selection and capacities have been determined in consistence with relevant multi-criteria including but not limited to the quantity and sustainability of the local production, distribution and population served, land availability and accessibility to the transportation network (roads and railways) and environmental and social risks.

In more detail, the scope of the Project Includes two main components:

Component 1 covers the feasibility study, preliminary design and quarterly reviews, In addition to the construction and commissioning of works,

Component 2 covers the necessary technical assistance (including the project management unit. (In addition to these two main components, the following activities will also be included:

Communication and visibility activities,

Financial audit,

Project coordination and support.
